About
About QoEReady

SBA SOP 50 10 8.1 now requires an independent Quality of Earnings (QoE) report — including a Cash Proof — for SBA 7(a) Initial Acquisitions and Business Expansions at a Business Purchase Price of $3M+. The QoE must be for the lender, independent, and may not be prepared by/for the seller. Full QoE reports cost $16,500–$40,000+ and can add up to six weeks. Deals die when the QoE finds what nobody reconciled first. QoEReady is the prep layer — explicitly NOT the QoE itself.
Who buys
Sellers and brokers 30–90 days pre-listing, buyers pre-LOI / post-LOI before the lender QoE, and sub-$3M deals whose lenders test the same earnings without a mandated QoE.
In scope / out of scope
In scope: Reconciliations · Variance flags · Evidence indexing · Explanation drafts · DSCR scenarios · Data-room index.
Out of scope: QoE reports · Audits/reviews/compilations · Valuations · Tax advice/filings · Legal advice · Loan brokering · Lender negotiation.
The honest boundary — non-negotiable
Readiness preparation only — not a QoE report, audit, or valuation. Lender QoE must be independent and lender-ordered per SBA SOP 50 10 8.1.
Don’t walk into the lender’s QoE unreconciled.
Run your own numbers through the readiness checker above, or start with the flat-fee Readiness Audit and find the landmines before the lender does.
